Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Gapscout("we", "our", or "us"), the platform available at https://gapscout.ai. The service is currently operated by the individual operator behind Gapscout (the "Operator"); on incorporation, the Operator's rights and obligations under these Terms will transfer to the successor entity. By creating an account, connecting an ad platform, or otherwise using the service, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. In that case, "you" refers to both you individually and the entity. If you do not agree to these Terms, you may not use the service.

2. The Service

Gapscout is a software-as-a-service platform that helps advertisers create, launch, optimize, and report on paid advertising campaigns across multiple ad platforms. Features include AI-assisted ad creative generation, campaign upload from spreadsheet templates, per-platform performance reporting, and AI-powered audits of connected ad accounts.

We may add, modify, or remove features at any time. Material reductions to paid features will be communicated in advance where practicable.

3. Eligibility & Accounts

Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a binding contract to use Gapscout. The service is not intended for use by minors.

Account creation

Account creation and authentication is handled through our authentication provider, Clerk. You are responsible for providing accurate information and keeping it current.

Account security

You are responsible for safeguarding your account credentials and for any activity that occurs under your account. Notify us immediately at ads@gapscout.ai if you suspect unauthorized access.

Workspaces

Gapscout supports multi-user workspaces backed by Clerk Organizations. If you join a workspace, the workspace administrator may view, manage, and remove your access to data scoped to that workspace, including connected ad accounts and saved dashboards.

4. Connected Ad Platforms

Gapscout connects to third-party advertising platforms — currently Meta, Google Ads, TikTok, Snapchat, LinkedIn, Pinterest, and X (Twitter) — via OAuth on your behalf. By connecting a platform, you authorize us to:

  • Read campaign, ad-account, and performance data from that platform
  • Create, modify, pause, or unpause campaigns, ad sets, ads, budgets, and bid strategies on your behalf, only when you explicitly initiate an action within Gapscout
  • Upload creative assets (images, videos) to that platform's asset library

Your use of each connected platform remains subject to that platform's own terms of service and policies. You are responsible for ensuring your use of Gapscout complies with those terms, including but not limited to advertising-content rules, prohibited-industry restrictions, and disclosure requirements.

You may revoke Gapscout's access at any time, either by disconnecting the platform from the Gapscout connections page or by revoking the OAuth grant in the platform's own settings.

5. Acceptable Use

You agree not to use Gapscout to:

  • Violate any applicable law, regulation, or third-party right
  • Run advertising campaigns that promote illegal goods or services, fraud, or deceptive practices
  • Upload or generate creative content that is defamatory, obscene, infringing, hateful, or otherwise unlawful
  • Impersonate any person or entity, or misrepresent your affiliation with one
  • Interfere with or disrupt the integrity or performance of the service or any connected platform
  • Attempt to gain unauthorized access to the service, other users' accounts, or our infrastructure
  • Reverse engineer, decompile, or attempt to extract the source code of the service
  • Use automated means (scrapers, bots, etc.) to access the service in a way that exceeds reasonable use, except via documented APIs
  • Resell, sublicense, or otherwise commercialize the service without our prior written consent

We reserve the right to suspend or terminate accounts that violate these rules, with or without notice.

6. Your Content

Ownership

You retain all rights to the content you upload, generate through, or store within Gapscout, including product images, brand logos, ad creative, copy, and campaign data ("Your Content"). We do not claim ownership of Your Content.

License to operate the service

You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely to provide and improve the service. This includes sending Your Content to third-party AI providers and ad platforms as required to perform actions you initiate (e.g. generating an image, pushing an asset to Meta).

Responsibility for Your Content

You represent and warrant that you own or have the necessary rights to Your Content, and that Your Content does not infringe any third-party rights or violate any law.

7. AI-Generated Output

Gapscout uses third-party AI providers (Anthropic Claude for copy and audits, Fal AI for images) to generate ad-creative output ("Output") based on your inputs. You may use Output in your advertising campaigns subject to:

  • The terms of the underlying AI provider, including their usage and content policies
  • Your obligation not to present Output in a way that is misleading or deceptive (e.g. fabricating product features or testimonials)
  • Your obligation to comply with any disclosure requirements applicable to AI-generated content in your jurisdiction or on the ad platform

AI Output is provided "as is." AI models can produce inaccurate, biased, or otherwise inappropriate content. You are solely responsible for reviewing Output before using it in any campaign. We make no warranty that Output is accurate, original, fit for a particular purpose, or non-infringing.

8. Our Intellectual Property

Gapscout, including its software, user interface, design, logos, and documentation, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the service for your internal business purposes.

All rights not expressly granted in these Terms are reserved. You may not use our trademarks or branding without our prior written permission.

9. Fees & Billing

Gapscout may offer free and paid plans. Pricing, features, and billing cadence for paid plans will be presented at signup or upgrade. Unless stated otherwise:

  • Fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except where required by law
  • You authorize us and our payment processor to charge your designated payment method
  • We may change pricing on at least 30 days' notice for existing subscribers; changes take effect at the start of the next billing cycle
  • Failure to pay may result in suspension or termination of paid features

Note that ad spend on connected platforms is billed directly by those platforms to your ad-account payment method. Gapscout does not collect, hold, or disburse advertising spend on your behalf.

10. Service Availability

We aim to keep Gapscout available and performant, but we do not guarantee uninterrupted access. The service may be unavailable due to planned maintenance, infrastructure failures, dependency outages (including third-party AI providers and ad platforms), or other factors outside our control. We are not liable for any losses resulting from downtime or degraded performance.

11. Termination

By you

You may stop using Gapscout at any time and may delete your account from your account settings or by contacting us. Termination does not entitle you to a refund of any prepaid fees, except where required by law.

By us

We may suspend or terminate your access if you breach these Terms, if your use poses a security or legal risk, if continued provision is not commercially reasonable, or if we are required to do so by law. Where practical, we will give notice and an opportunity to cure.

Effect of termination

On termination, your right to access the service ends and we may delete or anonymize your data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination (e.g. ownership, disclaimers, limitations of liability, indemnification, governing law) will survive.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

We do not warrant that the service will be error-free, that defects will be corrected, or that Gapscout or its servers are free of viruses or other harmful components. We make no warranty regarding the quality, accuracy, or reliability of AI Output, performance metrics fetched from connected platforms, or campaign outcomes.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL GAPSCOUT, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR ANY LOSS RESULTING FROM ADVERTISING SPEND, CAMPAIGN PERFORMANCE, OR DECISIONS MADE BASED ON Gapscout OUTPUTS.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Gapscout and its affiliates from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of (a) Your Content, (b) your use of the service, (c) your violation of these Terms, or (d) your violation of any third-party right, including any intellectual-property right, privacy right, or ad-platform policy.

15. Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction in which the Operator maintains its principal place of business at the time the dispute arises, without regard to its conflict-of-laws principles. Once Gapscout is incorporated, the governing law and exclusive forum will become the jurisdiction of incorporation, and we will update these Terms accordingly with at least 30 days' notice.

Nothing in this section limits any mandatory consumer-protection rights you may have under the law of your country of residence, nor does it prevent either party from seeking injunctive or equitable relief in any court of competent jurisdiction.

Before filing any formal proceeding, you agree to first attempt to resolve the dispute informally by contacting us at ads@gapscout.ai.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will notify you by email or by a prominent notice within the app at least 30 days before the change takes effect. Continued use of Gapscout after the effective date constitutes acceptance of the updated Terms.

17. Miscellaneous

Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gapscout regarding the service and supersede any prior agreements.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

No waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government action, or failures of third-party infrastructure.
